Web Site Development Terms and Conditions - Payment Terms: For basic web sites, by which we mean sites that do not have specialized programming or needs, we require a 30% deposit upon signing the agreement to proceed and the balance due upon completion of service. For more advanced web sites we require a 40% deposit upon signing the agreement to proceed, a 20% installment payment is due when you have signed off on the final design and the remaining 40% balance is due upon completion of service. GST is not included.
- Fees quoted do not include domain name registration, web site hosting fees or search engine submissions. Quotations are valid for 30 days unless otherwise specified. We reserve the right to collect all due payments within 60 days of the original agreement unless alternate arrangements have been made, with the exception of the case above where any outstanding balance is due prior to live publication of web site.
- All text content, logo & photographs must be supplied to Global Village Design in electronic format (disk or email) unless otherwise specified. Additional fees will apply if the client requires Global Village Design to write web site copy, locate text, images or photographs for a project. Global Village Design is not responsible or liable for verifying ownership and permissions with images, photographs and text supplied - any copyright infringement is the legal responsibility of the client.
- Global Village Design does not guarantee performance or functionality of web sites with custom programming if the client is not hosting the web site with Global Village Design. Set up fees will apply for setting up web sites on other web servers outside of Global Village Design's network.
- Throughout the duration of a project, the client will be requested to sign-off on specific stages of the development process. Sign-off will be necessary in order for Global Village Design staff to proceed with the development of a project. The process for the creation of visuals, such as graphics and page designs, consists of Global Village Web providing a draft and asking for feedback from the client; this feedback is then used to produce another draft. This estimate limits this process to one complete design revision and then two rounds of minor revisions.
- Although Global Village Design strives to ensure that this project stays within the quoted amount please note that changes to the original requirements will incur additional labour charges. Additional work that will result in additional charges includes, but is not limited to, the addition of pages, graphics, revision to text provided as ready for publication, changes to elements which have been finalized and changes to the functionality of the web site. Global Village Design will notify the client verbally or in writing if additional labour charges are necessary and written authorization from the client to proceed will be required.
- Global Village Design reserves the right to change the project completion date if the client requests changes to the original project requirements or if there is a delay with sign-off at any point throughout the project development process.
- To maintain our portfolio and to continue to promote our business Global Village Web shall be entitled to place a "Website Designed by..." credit in the footer of your website, with an appropriate link back to our own website. This link will open in a new browser window so as not to close your web site to the user. We are also entitled to reproduce samples of your web site in our portfolio and in any marketing materials.
- Global Village Web reserves the right to use qualified sub-contractors for any or all work on this project.
- Global Village Design shall not be held responsible for client expenses or loss of revenue as a result of an extended project completion date or for any other reason.
- In the event that the client proceeds with this quote and later wishes to terminate the agreement, the client's deposit shall be non-refundable. The client agrees to pay Global Village Design for labour costs incurred and any other costs outstanding as of the date of termination. Any graphic materials created specifically for the client shall be provided to the client upon payment of all outstanding fees. Any code developed for the client's web site remains the property of Global Village Web.
- Global Village Design reserves the right to terminate this agreement at any time by providing two days written notice to the address provided by the client at the time of entering into the agreement.
- Global Village Design will endeavor to provide a finished project that is error-free however on occasion errors are discovered or occur post project launch. If these errors are found within 90 days of project completion and are found to be the fault of Global Village Design they will be fixed as a high priority at no additional cost to the client. If the errors are found to be bugs in a software package that was implemented for the client's website (ie/OSCMax, Joomla!, etc.) then Global Village Design will correct the problem at our current hourly rate. If the client has control panel or FTP access to their web site and cause there to be any errors or problems with their web site Global Village will correct the problems/errors at our current hourly rate.
- Global Village Design specifically develops web sites that are compatible with Mozilla Firefox and Internet Explorer browsers in a Windows environment. If the client requires the website be developed for other browsers or platforms this may incur additional fees.
- The Client agrees that it shall indemnify and save Global Village Design, or any of it's employees and/or agents, from any and all claims, demands, actions, proceedings, losses, costs, and liability (including any and all legal fees and expenses on a solicitor and his client basis) arising out of any errors, omissions, breach or failure to perform any of it's obligations under this agreement or quotation, the incorrectness of any representation or warranty contained in this agreement. The indemnification shall survive the completion, cancellation or termination of this agreement.
- In order to receive services from Global Village Design you must agree to the following terms and conditions of service. For the purposes of this service agreement Global Village Design may be referred to as "Global Village" or "Global Village Web." In addition the use of the word "we," "our" or "us" will at all times refer to Global Village Design. The person or persons purchasing services from Global Village may be referred to as "you," "your," "yours," or "the client."
